Square Beta Service Terms

These Square Beta Services Terms (the “Beta Terms”) govern your access to and use of any Square product, feature, or service that Square designates as beta, pre-release, pilot, preview, evaluation, experimental, proof-of-concept, or similar (collectively, the “Beta Services”). “Square,” “we,” “our,” and “us” have the meanings given in the Square General Terms of Service (the “General Terms”). “You” and “Seller” mean you, as a customer using the Beta Services.

By enabling, accessing, or using any Beta Services, you agree to be bound by these Beta Terms, the General Terms, Square’s E‑Sign Consent, the Square Privacy Notice, and any other policies and terms referenced in the General Terms, including applicable service‑specific terms. If you use the Beta Services on behalf of a business or entity, you represent that you have authority to bind that business or entity, and that such business or entity accepts these Beta Terms.

These Beta Terms supplement the General Terms and apply only to your use of the Beta Services. The General Terms remain in full force and effect. To the extent of any conflict between these Beta Terms and the General Terms on matters not specific to the Beta Services, the General Terms control.

1. Eligibility; Program Scope

A. Participation in Beta Services is by invitation or enablement made available by Square, in its sole discretion. Unless Square expressly agrees otherwise in writing, you may use the Beta Services only in the United States.

B. You agree to use the Beta Services solely for your internal evaluation during the beta period identified by Square (the “Program Period”). If no Program Period is specified, your evaluation period may continue until Square no longer makes the applicable Beta Service available to you or your participation is terminated under these Beta Terms.

C. You remain responsible for ensuring that your use of the Beta Services complies with all laws and regulations that apply to you and your business, including sanctions, export controls, wage and hour laws, tax withholding and reporting obligations, and data protection requirements.

D. Square may set parameters, thresholds, or limits for Beta Services and may modify such limits at any time. You agree to comply with any usage limits or guidelines that Square communicates in the product interface or documentation.

2. License; Use Restrictions

A. Subject to these Beta Terms, Square grants you a limited, revocable, non-exclusive, non- transferable, non-sublicensable right to access and use the Beta Services during the Program Period solely for internal evaluation of the Beta Services’ functionality and performance.

B. You will not, and will not permit any third party to, use the Beta Services for competitive analysis or to develop, train, or improve a competing product or service; reverse engineer, decompile, disassemble, or otherwise attempt to derive source code or underlying ideas; probe, scan, or test the vulnerability of the Beta Services; remove or obscure proprietary notices; provide the Beta Services to others; or use the Beta Services in any way that violates the General Terms, acceptable use restrictions, or applicable law.

C. Your access to Beta Services is non-exclusive and may be modified, suspended, or terminated by Square at any time, with or without notice, and without liability.

3. Confidentiality; Publicity

A. “Square Confidential Information” means any non-public information disclosed or made available to you in connection with the Beta Services, including the existence of the Beta Services, product plans, performance data, documentation, communications regarding the Beta Services, and related materials. Square Confidential Information does not include information that you can demonstrate was known to you without restriction before disclosure, becomes publicly available without your breach, is rightfully received from a third party without duty of confidentiality, or is independently developed by you without use of Square Confidential Information.

B. You will use Square Confidential Information solely to evaluate the Beta Services, will protect it with at least the same degree of care you use for your own confidential information and no less than a reasonable degree of care, and will not disclose it except to your employees and contractors with a need to know for evaluation purposes and who are bound by confidentiality obligations at least as protective as these Beta Terms. You will promptly notify Square if you become aware of unauthorized use or disclosure.

C. You will not make any public statements about your participation in the Beta Services, the features, or performance of the Beta Services without Square’s prior written consent. Any use of your name or logo by Square for external reference will be subject to your prior consent unless otherwise agreed.

4. Feedback

A. You may provide Square with ideas, suggestions, bug reports, or other feedback about the Beta Services (“Feedback”). Feedback is voluntary and non-confidential.

B. You grant Square and its affiliates a worldwide, perpetual, irrevocable, royalty‑free, fully-paid, transferable, and sublicensable license to use, copy, modify, create derivative works from, distribute, publicly perform, publicly display, and otherwise exploit the Feedback for any purpose, without restriction or obligation to you.

5. Data Collection and Use

A. You acknowledge and agree that Square may monitor your access to and use of the Beta Services and collect diagnostic, technical, and usage data to operate, secure, analyze, and improve the Beta Services and Square’s other products and services.

B. Square’s collection and use of personal information in connection with the Beta Services is governed by the Square Privacy Notice. Where Square processes personal information on your behalf, the state-specific privacy terms in the General Terms apply. You agree to comply with data protection laws applicable to you and to provide any required notices and obtain any required consents from individuals whose personal information you submit or process using the Beta Services.

C. Unless Square expressly agrees otherwise, you will not use the Beta Services to process protected health information under HIPAA. If a Beta Service is expressly authorized for such processing, your use must comply with a HIPAA Business Associate Agreement executed with Square.

D. Square may de-identify or aggregate data in accordance with the General Terms and may use such data to maintain and improve services, ensure quality and security, detect and prevent fraud, and comply with applicable law.

6. Beta Services; Availability; Support

A. The Beta Services are experimental, may contain bugs, errors, or defects, and may be substantially modified or discontinued at any time. The Beta Services may not be feature- complete, may not perform as intended, and may never be released for general availability.

B. Square does not commit to provide support, maintenance, or any service level agreement for the Beta Services. You are solely responsible for implementing appropriate safeguards, backups, and validation procedures and for verifying outputs and results before relying on them.

7. Your Responsibilities

A. You are solely responsible for the accuracy, completeness, legality, and timeliness of any information, content, data, or materials you submit or use with the Beta Services, and for maintaining your own records and backups.

B. You will maintain the security and confidentiality of your account credentials and are responsible for any actions taken through your account. Transactions or actions initiated through your account are deemed authorized by you.

C. You remain solely responsible for your compliance with all applicable laws and regulations, including tax reporting and withholding, wage and hour requirements, and sanctions and export controls. Square does not provide legal, tax, or HR advice, and your use of the Beta Services does not ensure your compliance with law.

8. Modifications; Updates; Migration

A. Square may modify the Beta Services, including adding, changing, or removing features, at any time without notice and without liability. Your continued use after a modification constitutes acceptance of the modified Beta Services.

B. Square does not guarantee availability of any migration path, data portability, or continuity of functionality if a Beta Service transitions to early access or general availability. Content used in a Beta Service may be deleted or become inaccessible and may not migrate to a later version or generally available product.

9. Term; Termination

A. These Beta Terms apply to a Beta Service from your first enablement or use of that Beta Service and continue until the earlier of the end of the Program Period, your or Square’s termination, or the Beta Service’s transition to general availability or discontinuation.

B. Either party may terminate your participation in the Beta Services at any time for any reason or no reason, with or without notice. Square may suspend or terminate your access to the Beta Services if you violate these Beta Terms, if Square suspects fraud or misuse, or at Square’s discretion.

C. Termination of your participation in a Beta Service does not automatically terminate other Square services connected to your account. Obligations incurred before termination remain your responsibility. Upon termination, you must cease all use of the applicable Beta Service. Square may, but has no obligation to, delete information used in a Beta Service.

10. Ownership; Intellectual Property

A. As between you and Square, Square and its licensors own all right, title, and interest in and to the Beta Services and all related technology, software, and materials. Except for the limited license in Section 2, no other rights are granted, and all rights not expressly granted are reserved by Square.

B. The licenses you grant to Square in your Content under the General Terms apply to Content you submit or use with the Beta Services. “Content” has the meaning given in the General Terms.

11. Warranties; Disclaimers

THE BETA SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SQUARE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON‑INFRINGEMENT, ACCURACY, AVAILABILITY, OR THAT DEFECTS WILL BE CORRECTED. OUTPUTS OR RESULTS GENERATED OR FACILITATED BY THE BETA SERVICES MAY BE INACCURATE OR INCOMPLETE; YOU ARE SOLELY RESPONSIBLE FOR INDEPENDENT VERIFICATION.

12. Limitation of Liability; Indemnity

A. The General Terms’ limitations of liability, exclusions of damages, and caps on Square’s total liability apply in full to your use of the Beta Services.

B. The General Terms’ indemnity obligations apply to your use of the Beta Services. You will indemnify, defend, and hold harmless Square and its processors, affiliates, employees, directors, agents, and representatives from and against claims, losses, and expenses arising out of or related to your breach of these Beta Terms, your use of the Beta Services, your Content, your violation of law, or any third-party claims related to personal information you process using the Beta Services.

13. Dispute Resolution; Governing Law

A. The dispute resolution provisions in the General Terms, including binding individual arbitration, small-claims election, pre-filing conference requirements, and confidentiality of arbitration, apply to these Beta Terms and your use of the Beta Services.

B. These Beta Terms are governed by California law and applicable federal law as provided in the General Terms, without regard to conflicts of law principles.

14. Assignment; Survival; Entire Agreement; Changes

A. You may not assign or transfer these Beta Terms or any rights or obligations hereunder without Square’s prior written consent. Square may assign or delegate these Beta Terms, in whole or in part, to an affiliate or in connection with a corporate transaction.

B. Sections that by their nature should survive termination, including Sections 3 (Confidentiality; Publicity), 4 (Feedback), 5 (Data Collection and Use), 6 (Beta Services; Availability; Support), 7 (Your Responsibilities), 10 (Ownership; Intellectual Property), 11 (Warranties; Disclaimers), 12 (Limitation of Liability; Indemnity), 13 (Dispute Resolution; Governing Law), and 14 (Assignment; Survival; Entire Agreement; Changes), survive termination.

C. These Beta Terms, together with the General Terms and any other applicable policies and terms referenced therein, set forth the entire agreement between you and Square regarding the Beta Services. Square may update these Beta Terms as described in the General Terms, and your continued use of the Beta Services constitutes acceptance of updated Beta Terms.

15. Program-Specific Terms

A. If Square specifies program-specific terms for a particular Beta Service, those terms supplement these Beta Terms.

B. If a Beta Service includes AI features, Square’s AI Terms of Service apply in addition to these Beta Terms and the General Terms.
