To enter this Sweepstakes, you must agree to and abide by these Official Rules.

DESCRIPTION: THIS SWEEPSTAKES IS NOT OPEN TO THE GENERAL PUBLIC. YOU MUST BE A SQUARE SELLER TO PARTICIPATE IN THE SWEEPSTAKES.

NO PURCHASE NECESSARY TO ENTER OR WIN. PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. YOU HAVE NOT YET WON. ODDS OF WINNING WILL DEPEND PRIMARILY ON THE TOTAL NUMBER OF ENTRIES RECEIVED FOR APPLICABLE DRAWING. VOID WHERE PROHIBITED OR RESTRICTED BY LAW. BY ENTERING YOUR BUSINESS IN THE SWEEPSTAKES, YOU (ON BEHALF OF YOUR BUSINESS AND YOURSELF, AS APPLICABLE) AGREE TO THESE OFFICIAL RULES, WHICH ARE A CONTRACT, SO READ THEM CAREFULLY BEFORE ENTERING. (In all cases herein [whether or not specifically indicated], “you” or “entrant” refers to the owner or other individual with requisite authority acting on behalf of the Square seller as a business entity and secondarily for him/herself personally.)

1. Sponsor

2. Administrator

CSM Sports and Entertainment, Inc., 440 9th Avenue, 17th Floor, New York, NY 10001 (“Administrator”).

3. Eligibility

The “Square Card Million Dollar Giveaway” (“Sweepstakes”) is not open to the general public. Sweepstakes is open to registered bona fide Square sellers; owner of Square seller (if not an owner, then an individual at the Square seller with requisite authority to enter the Sweepstakes on its behalf) must be a legal resident of the United States or the District of Columbia, who is at least 18 years old at time of entry (“Entrant”). For the avoidance of doubt, the owner (or other individual with requisite authority) enters his/her business – the Square seller – for a chance to win a prize in the Sweepstakes; persons are not entering the Sweepstakes for a chance to win a prize in their individual capacity. Without limiting the foregoing, Sponsor, Administrator, and each of their respective parent companies, subsidiaries, advertising and promotion agencies, and any and all other companies associated with the Sweepstakes, including Mastercard, Inc. (collectively, the “Promotion Entities”), and each of their immediate family members (spouse and parent, children, siblings and their respective spouses, regardless of where they reside) and/or people living in the same household, whether or not related, are not eligible to participate. Subject to all applicable federal, state and local laws and regulations.

4. Sweepstakes Entry

The Sweepstakes begins on or about 12:00:01 am Pacific Standard Time (“PST”) on Monday, June 1, 2020 and ends at 11:59 pm PST on Tuesday, June 30, 2020 (“Promotion Period”), as set forth in the chart below. Four (4) separate and distinct Weekly Sweepstakes Entry Periods (also referred to as “Weekly Periods”) comprise the Promotion Period. Sponsor’s computer is the official clock for this Sweepstakes.

**Weekly Sweepstakes Entry Periods

**To Participate Using a Square Card:

Eligible Square sellers are automatically registered for the Sweepstakes if they participate via purchase. To do so, an owner (or other individual with requisite authority) uses the business’ Square Business Prepaid Debit Card (“Debit Card”) to make purchases for the Square seller during the Promotion Period.

Each qualifying purchase made using the Debit Card during a given Weekly Period will increase the total value of the prize won if that eligible Square seller is selected in that Weekly Period’s random drawing and thereafter verified as a prize winner (see Rules 5 and 6 below).

To count as a qualifying purchase:

(a) Debit card must have been used to purchase goods/services for the business operations of the Square Seller (and not for the personal use of owner or any other individual);
(b) The underlying transaction must have been successfully completed and not voided for any reason (e.g., insufficient funds);
(c) Goods purchased with Debit Card cannot have been returned for a refund or exchanged for another product/service;
(d) Goods purchased with Debit Card must be part of available inventory and not “rain checks”;
(e) Debit card must have been used to make purchase during the corresponding Weekly Period** (previous purchases do NOT qualify).
(f) ATM cash withdrawals and other cash transactions are not eligible.

**The time when payment is presented/made by Square seller (not when such payment is processed) will be used for purposes of determining when a qualifying purchase occurred.

Proof of making a qualifying purchase does not constitute proof of receipt of same. Sponsor’s records as to qualifying purchases made by an eligible Square Seller shall prevail, govern and control in all respects, including but not limited to when a qualifying purchase was made.

BY MAKING A QUALIFYING PURCHASE, YOU ARE INDICATING ON BEHALF OF YOUR BUSINESS (THE SQUARE SELLER) PRIMARILY AND YOURSELF SECONDARILY THAT YOU HAVE READ, UNDERSTOOD AND FULLY AGREE TO THESE OFFICIAL RULES. DO NOT MAKE A QUALIFYING PURCHASE/ENTER THE SWEEPSTAKES WITHOUT FIRST REVIEWING THESE OFFICIAL RULES.

**Free Method of Entry:

TO ENTER WITHOUT PURCHASE, send an email to SquareEntry@CSM.com with “Square Card Million Dollar Giveaway” in the subject line of the email and your Square customer code in the body of the email. You can acquire your Square customer code by navigating the internet to https://squareup.com/go/squarecardgiveaway. Sign in with your Square account login, and you will see your customer code. Code is valid only for that particular Square seller and is NOT transferable. Each email will result in one (1) entry.

**BY SUBMITTING AN EMAIL ALONG WITH THE SUBJECT LINE “SQUARE CARD MILLION DOLLAR GIVEAWAY” AND YOUR SQUARE CUSTOMER CODE, YOU ARE INDICATING THAT YOU HAVE READ, UNDERSTOOD AND FULLY AGREE TO THESE OFFICIAL RULES. DO NOT SUBMIT AN EMAIL WITHOUT FIRST REVIEWING THESE OFFICIAL RULES.

**SQUARE SELLERS WHICH DO NOT MAKE QUALIFYING PURCHASES IN A GIVEN WEEKLY PERIOD WILL NOT BE AUTOMATICALLY REGISTERED FOR THAT WEEKLY PERIOD’S RANDOM DRAWING. (To participate in a Weekly Period random drawing without making a qualifying purchase, owner/other individual with requisite authority at Square Seller must submit a non-purchase entry via email for that Weekly Period.)

**CONVERSELY, DO NOT SUBMIT A NON-PURCHASE ENTRY EMAIL FOR A GIVEN WEEKLY PERIOD IF THE SQUARE SELLER HAS MADE AT LEAST ONE QUALIFYING PURCHASE DURING THAT WEEKLY PERIOD. THE FREE METHOD OF ENTRY SHOULD ONLY BE USED INSTEAD OF – NOT IN ADDITION TO – PARTICIPATION VIA PURCHASE FOR A GIVEN WEEKLY PERIOD. MAKING A QUALIFYING PURCHASE DURING A WEEKLY PERIOD VOIDS THE OPPORTUNITY TO SUBMIT A NON-PURCHASE ENTRY FOR THAT WEEKLY PERIOD.

**Only one (1) non-purchase entry may be submitted by a Square Seller for each Weekly Period (again, provided that such Square Seller has NOT made a qualifying purchase during that Weekly Period).

Multiple entries in violation of the limits set forth above (including but not limited to participating via qualifying purchase and submission of non-purchase entry email during the same Weekly Period) and/or mass entry attempts will result in disqualification of all entries by such Square Seller. Non-purchase entries must be manually key-stroked by the Entrant (i.e., an owner or other individual with requisite authority for eligible Square Seller); use of automated entry devices or programs, or entries by third parties by any method of entry, is prohibited. Entries that do not conform to or that violate these Official Rules or are submitted in any manner other than stated in these Official Rules will be disqualified. Sponsor and Administrator will not be responsible for late, lost, incomplete, or misdirected non-purchase entries or for qualifying purchases that are improperly recorded or not recorded at all due to any technological, electronic, programming, network, hardware or software error/malfunction/failure of any kind including but not limited to payment processing/reporting systems, regardless of cause.

5. Random Drawings/Selection of Winners

Potential prize winners will be selected via a series of four (4) random weekly drawings, with one drawing for each Weekly Period. Each drawing will consist of (a) eligible Square Sellers which made at least one (1) qualifying purchase during the corresponding Weekly Period and (b) eligible Square Sellers which did NOT make at least one (1) qualifying purchase transaction during the corresponding Weekly Period but submitted a non-purchase entry email during such Weekly Period. Drawings will be conducted on or about the next business day following the conclusion of each Weekly Period. Non-winning entries from any Weekly Period will NOT be carried forward to subsequent Weekly Period(s). (For the avoidance of doubt, to participate without making a qualifying purchase in more than one Weekly Period, a Square seller must submit a new non-purchase entry email for each Weekly Period.) All drawings will be conducted by CSM Sports and Entertainment, Inc., an independent judging organization/Administrator whose decisions are final and binding on all matters related to the Sweepstakes.

6. Prizes, Values and Odds

Weekly Prizes: If winning Square Seller made qualifying purchase(s) using the Debit Card during a given Weekly Period, such Square Seller will receive the qualifying purchase or sum of such qualifying purchases (as the case may be), up to APPROXIMATELY a total of $250,000.00**. If winning Square Seller did NOT make a qualifying purchase during a given Weekly Period (i.e., the Square Seller participated via non-purchase entry during that Weekly Period), such Square Seller will win a $320.00.

**Total of qualifying purchases/non-purchase entries for a given Weekly Period may not exactly equal $250,000.00. Should the total for a given Weekly Period be less than $250,000.00, the difference will be added to a future Weekly Period; conversely, should the total for a given Weekly Period be more than $250,000.00, the difference will be subtracted for a future Weekly Period. However, in any event, the total of all prizes in the Sweepstakes will equal $1,000,00.00.

If the first verified winning Square Seller made qualifying purchases during the Weekly Period which were less than $250,000.00 (or if the first verified winning Square Seller participated via non-purchase entry during the Weekly Period resulting in award of a prize of $320), Administrator will thereafter select additional Square Seller(s) until the entire $250,000.00 for a given Weekly Period has been awarded.

In all cases, prize will be awarded as a credit to the winning Square Sellers Debit Card balance. Winning Square seller should allow approximately ten (10) business days from date of verification for credit to be reflected in Debit Card balance.

**Aggregate Value of all Prizes: $1,000,000.00.

Odds of winning a prize for a given Weekly Period depend on
(a) total number of eligible Square Sellers which made at least one (1) qualifying purchase during the corresponding Weekly Period and eligible Square Sellers which did NOT make at least one (1) qualifying purchase during the corresponding Weekly Period but submitted a non-purchase entry email during such Weekly Period; and
(b) for eligible Square Sellers which made at least one (1) qualifying purchase during the corresponding Weekly Period, the amount of such qualifying purchase(s). Federal, state and local taxes (if any) are the sole responsibility of the winner. Should the value of a Prize equal or exceed $600, the winning Square Seller will be issued an IRS 1099 Tax Form reflecting the total value of the prize won. Owner (or other individual with requisite authority) at winning Square Seller agrees to fully cooperate with Sponsor/Administrator as to the reporting to the Internal Revenue Service of such prize award, including provision of the winning Square Seller’s Federal Tax Identification Number or Social Security Number via IRS W9 Tax Form. No prize substitution. Prize is not transferable. Any unspecified expenses in conjunction with prize acceptance are the winning Square seller’s sole responsibility. **Limit of one (1) prize per Square seller/per Debit Card.

7. Winner Notification

Potential winners (i.e., owner or other individual with requisite authority at Square Seller) will be notified by e-mail, dashboard banner, in-app notification and/or telephone. Failure to respond to the initial verification notice within two (2) business days after notification or return of e-mail notification as undeliverable after two (2) attempts will result in disqualification. Potential winners (i.e., owner or other individual with requisite authority at Square Seller, primarily on behalf of Square Seller and, secondarily, on an individual basis) may be required to sign and return within three (3) business days, an Affidavit of Eligibility, Release and Indemnification, and a Publicity Release where allowed by law (“Winner Documents”). If the Winner Documents are not returned to Sponsor within specified time period or prize is returned as undeliverable, potential winner may be disqualified. If potential winner is disqualified, prize will be awarded to an alternate winner selected in the manner set forth in Rule 5 above. Any dispute regarding the identity of an entrant will be resolved by Sponsor/Administrator in their sole discretion.

8. Conditions and Limitations of Liability

By participating, entrants (i.e., owner or other individual with requisite authority at Square Seller, primarily on behalf of Square Seller and, secondarily, on an individual basis) agree to be bound by these Official Rules and the decisions of Sponsor and Administrator, which shall be final and binding in all respects. By participating in this Sweepstakes, entrants (i.e., owner or other individual with requisite authority at Square Seller, primarily on behalf of Square Seller and, secondarily, on an individual basis) agree to release and hold harmless the Promotion Entities as well as each of their respective officers, directors, employees, agents and representatives and each of their respective successors, representatives and assigns (collectively, the “Released Parties”) from any and all actions, claims, injury, loss or damage arising in any manner, directly or indirectly, from participation in this Sweepstakes and/or acceptance, receipt, possession or use/misuse of prize. By entering, entrants (i.e., owner or other individual with requisite authority at Square Seller, primarily on behalf of Square Seller and, secondarily, on an individual basis) also authorize the Sponsor and its designees to use their name, voice, likeness, photograph, prize information (if applicable), biographical data and city and state of business in programming, advertising and/or promotional material or on a winners’ list (if applicable) without compensation to the extent permitted by law. With regard to the Square Seller, the preceding includes only publicly available information about the business entity. Sponsor is not obligated to use any of the above mentioned information or materials, but may do so and may edit such information or materials, at Sponsor’s sole discretion, without obligation or compensation. Sweepstakes subject to the laws of the United States only. All federal, state and local laws and regulations apply. All entries become the property of the Sponsor and acknowledgement of receipt of entry (be it qualifying purchase or non-purchase entry) does not constitute any representation of eligibility of entry for drawing.

Sponsor and its agencies are not responsible for failed, partial or garbled computer transmissions, capture of qualifying purchase transactions, or for technical failures of any kind affecting the Sweepstakes in any manner, including but not limited to electronic malfunction or damage of any network, hardware or software. The foregoing includes any malfunction/error/failure deemed by Sponsor/Administrator in the sole discretion of either party to impact the availability or acceptance of qualifying purchase(s) or non-purchase entry emails. If for any reason the Sweepstakes is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud or technical failures beyond Sponsor’s control that corrupt or affect the administration, security, fairness, integrity or proper conduct of the Sweepstakes (including qualifying purchase(s), non-purchase entry emails or otherwise), Sponsor reserves the right, in its sole discretion, to disqualify any individual whether or not the individual is a participant in the sweepstakes who tampers with the entry process, and to terminate, modify or suspend the Sweepstakes. In such event, Sponsor reserves the right to conduct the Sweepstakes and award the prize(s) for affected Weekly Period(s) in a manner which is fair, appropriate and consistent with these Official Rules, as determined by Sponsor in its sole discretion. Notice of termination/modification/suspension of Sweepstakes will be posted on the Sweepstakes website. No responsibility is assumed for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or loss, destruction or unauthorized access to, or alteration of, qualifying purchase data or non-purchase entry emails; or any problems or technical malfunctions of any telephone network or lines, computer online systems, servers, or providers, computer equipment, software, failure of any email or electronic entry to be received (including the capture of qualifying purchase transactions) on account of technical problems or traffic congestion on the Internet or at any website (including but not limited to the website listed in Rule 4 above), or any combination thereof, including any injury or damage to any person’s computer related to or resulting from participation in or downloading any materials from this Sweepstakes. Failure of Sponsor or Administrator to enforce any provision of these Official Rules shall not constitute the waiver of such provision.

Persons entering the Sweepstakes for a Square Seller further agree not to knowingly damage or cause interruption of the Sweepstakes and/or prevent others from participating in the Sweepstakes. CAUTION: ANY ATTEMPT TO DAMAGE ANY ONLINE SERVICE OR WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES VIOLATES CRIMINAL OR CIVIL LAWS. IF SUCH AN ATTEMPT IS MADE, SPONSOR MAY DISQUALIFY THE SQUARE SELLER ASSOCIATED WITH ANY SUCH PERSON MAKING SUCH ATTEMPT AND SEEK DAMAGES TO THE FULLEST EXTENT OF THE LAW.

9. Disputes

Except where prohibited, Entrant on behalf of his/her business and him/herself personally (as applicable) agrees that: (1) any and all disputes, claims and causes of action arising out of or connected with the Sweepstakes or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively through binding arbitration located in the City of San Francisco, State of California, (and the parties consent to jurisdiction therein with respect to any legal proceedings or disputes of any kind arising under or relating to these Official Rules), (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering the Sweepstakes (if any), but in no event attorneys’ fees; and (3) unless otherwise prohibited, under no circumstances will Entrant be permitted to obtain awards for, and entrant on behalf of his/her business and him/herself personally (as applicable) hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. IN AGREEING TO RESOLVE DISPUTES VIA ARBITRATION, ENTRANT UNDERSTANDS AND AGREES THAT THE RIGHT TO A TRIAL BY JURY IN A COURT OF LAW IS BEING WAIVED. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant and Sponsor in connection with the Sweepstakes shall be governed by, and construed in accordance with, the laws of the State of California , without giving effect to any choice of law or conflict of law rules principles (whether of the State of California or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than State of California.

10. Personal Information

All information regarding Entrants collected by Sponsor and Administrator and/or their agents and contractors will be treated in accordance with Sponsor’s privacy policy. Please review Sponsor’s privacy policy at https://squareup.com/us/en/legal/general/privacy. By entering the Sweepstakes, each Entrant agrees that information submitted in connection with the Sweepstakes may be used as permitted pursuant to Sponsor’s privacy policy, and otherwise in connection with the administration of the Sweepstakes.

For the names of winners, send an email to winnerslist@csm.com with “Square Card Million Dollar Giveaway Winners” in the subject line, for receipt no later than 7/17/2020 at 2:00 pm PST.
