Square AI Terms of Service

These Square AI Terms of Service (“Square AI Terms”) govern your use of products, services, features, or tools that are powered by or offer you access to artificial intelligence (“AI”) technology (such as generative AI, machine learning (“ML”), deep learning, large language models, neural networks, and other AI technology (collectively, “AI Products”) that are offered by Block, Inc. (“Square,” “we,” “our,” or “us”) or a third party. By using AI Products, you agree to be bound by the General Terms of Service (“General Terms”), these Square AI Terms, and any other terms, policies and guidelines applicable to the Services (collectively, the “AI Terms”). If you are using the AI Products on behalf of a business, you represent to us that you have the authority to bind that business or entity to these Terms, and that business, including its Personnel, accepts these AI Terms. Defined terms not otherwise defined herein have the same meaning as in the General Terms.

I. Access and Acceptable Use

AI Products may allow you to interact with them by providing text, audio, images, content, data, or other inputs (“Input”). In response to your interactions with the Services, AI Products may generate text, audio, images, content, data, or other output (“Output”) (collectively, “AI Content”). You are responsible for all Inputs as well as all Output generated in response to your interactions with the AI Products.

Some AI Products may be provided in the form of a chatbot or virtual AI representative. These AI Products are not human and may make mistakes.

Other AI Products may allow you to provide Input through your microphone or may respond with audible responses. When using these AI Products, be aware of your surroundings as any commands or other prompts that you speak, or audible responses that you receive from the AI Products, may be heard by others. Any Inputs captured while you are using these AI Products, including those Inputs that you did not intend to transmit, such as the voices of other people near you, will be presumed to be authorized by you.

You acknowledge that the AI Products can make mistakes or provide incorrect, inaccurate, or offensive Outputs. It is your responsibility to always check the accuracy and appropriateness of the Outputs. The AI Products are provided for your convenience only. You should not use the AI Products or their Outputs for legal, financial, tax, medical, employment, or other professional advice or to rely on them for significant business decisions.

You should not use any AI Product or Outputs in any way that is harmful, misleading, or violates the rights of any person or entity. In addition to Square’s other rights, Square reserves the right to suspend, terminate, or otherwise modify your access to AI Products or other Services as determined in our sole discretion if we identify any such misuse.

In addition to any limitations covered in other applicable terms, you agree that you will not access or use, or allow, encourage, facilitate, or instruct others to access or use, AI Products or Outputs in a manner that:

• Makes decisions impacting the terms or conditions of hiring or employment;

• Misleads anyone that the content generated by AI Products is human-generated;

• Provides medical, legal, financial, housing, insurance or other specialized advice;

• Generates or disseminates:

  1. Content that is misleading, illegal, fraudulent, deceptive, abusive, hateful, inflammatory, or could lead to harm (such as self-harm, discrimination, bullying, humiliation, or other emotional harms);
  2. Content that may violate or infringe upon the rights of others, including privacy or data protection rights, intellectual property rights, and other proprietary rights;
  3. Content that may be libelous, slanderous, or defamatory;
  4. Political content, including for dissemination in electoral campaigns;
  5. Spam, ransomware, keyloggers, viruses or other software;
  6. Content that contains corrupted data or any other harmful, disruptive, or destructive files;
  7. Hateful, harassing, abusive, violent, or highly offensive content that attacks or dehumanizes a group based on race, ethnicity, national origin, religion, serious disease or disability, gender, age, or sexual orientation;
  8. Contains adult content, pornographic material, images of explicit nudity, depictions of graphic violence or gore, or content that otherwise promotes, glorifies, or threatens violence;
  9. Content promoting or generating violent extremism or terrorist content;
  10. Content that encourages committing any type of crimes; or
  11. Content related to child exploitation or sexual abuse.

• Impersonates any person or entity or falsely states or otherwise misrepresents your affiliation with a person or entity; or

• Violates any applicable laws or regulations or promotes, contributes to, or encourages illegal or unlawful activity or activity that gives rise to civil liability; or

• Overrides safety or privacy filters, controls, or mechanisms.

II. Your Content

You are responsible for any text you type or images, content, or data you upload into AI Products (“Input”), as well as any text, images, or content generated by AI Products through your use of AI Products or through prompts you provide to AI Products (“Output”) (collectively, “AI Content”). You are also responsible for ensuring that any AI Content complies with all applicable laws, regulations, and terms before generating, using, or sharing it. You represent and warrant that you own, control, or have otherwise lawfully obtained all of the rights, permissions, or consents necessary to grant the rights and licenses to Inputs under the AI Terms, including the right for Square and its subsidiaries, affiliates, and successors to use and disclose the Input, and to grant any rights and licenses in Inputs (including by way of license or sublicense), as contemplated under the AI Terms.

You agree that you will not include any sensitive personal data of any individual (including data that reveals racial or ethnic origin, political opinions, religious or philosophical beliefs, or trade union membership, health data or data concerning anyone’s sex life or sexual orientation) in any Inputs. Outputs are not factual or financial, investment, tax, legal, or any professional advice, nor a substitute for such advice, and may not be relied upon as such.

When using Outputs, you agree to inform viewers of those Outputs that the content is AI-generated.

You understand that AI is an evolving technology that may make mistakes. It is your responsibility to verify the accuracy and suitability of all AI Content and ensure that your use and provision of AI Content complies with all applicable law, regulations, and terms, and does not infringe upon any intellectual property, privacy rights or proprietary rights of others.

As between you and Square, to the extent permitted by applicable laws and regulations, you own your AI Content, except for any portions that are owned or controlled by Square, or its subsidiaries or affiliates, or any of their respective licensors (the “Square Parties”). You will need to make your own determination regarding the rights you have in your AI Content, taking into account, among other things, the rights that third parties may have in the AI Content, how it will be used, and the laws of the relevant jurisdictions. You grant us and our subsidiaries, affiliates, and successors a worldwide, non-exclusive, royalty-free, fully-paid, transferable, irrevocable, perpetual, and sub-licensable (through multiple tiers) right to use, reproduce, modify, adapt, publish, prepare derivative works of, distribute, publicly perform, and publicly display your AI Content throughout the world in any form or media for any reason, including to provide, promote, incorporate into, train, fine-tune, test, evaluate and develop the AI Products or other products, services and technology. You retain all rights in your AI Content, subject to the rights you granted in the Square AI Terms.

IF YOU DO NOT WISH TO GRANT SQUARE A LICENSE TO ANY OF YOUR AI CONTENT, PLEASE DO NOT USE SQUARE’S AI PRODUCTS.

You may modify or remove your Outputs via your Square Account or by terminating your Square Account, but your Outputs may persist in historical, archived or cached copies and versions thereof available on or through the AI Products. Except for portions of AI Content owned or controlled by the Square Parties, Square agrees not to claim it owns the copyright in your AI content. In the event that any of your AI Content is alleged to be unlawful or otherwise causes your breach of these Square AI Terms, Square may disclose such AI Content to law enforcement or other governmental authorities, or in response to a court order.

Although we have no obligation to monitor any AI Content, we have absolute discretion to remove AI Content at any time and for any reason without notice. We may also monitor such AI Content to detect and prevent fraudulent activity or violations of these or other applicable terms. You understand that by using the AI Products, you may be exposed to content that is offensive, indecent, or objectionable. Square does not warrant or guarantee the accuracy, completeness or reliability of any Output, or that any Output or use of it does not infringe any third-party rights. We take no responsibility and assume no liability for any AI Content, including any omissions, errors, loss or damage to any of the AI Content.

We may impose limits on the number of Outputs you can create with AI Products. You may be notified if you have reached the maximum number of Outputs for your account.

III. Third-Party Rights

You may not use AI Products to create content that violates third-party copyright, trademark, privacy or other rights. This may include, but is not limited to, entering text prompts to generate a third-party brand logo, uploading an Input image that includes a third party’s copyrighted content, or using a third party’s personal information in violation of their privacy or data protection rights. If you are not sure whether your content violates the rights of a third party, you should consult your own legal advisor.

If you believe that third party material hosted by Square infringes your copyright or trademark, please see our Intellectual Property Removal Policy located here. If you have a contract or other dispute with a third party regarding content you or they have uploaded to our Services, please resolve the issue directly with the third party. We will not moderate contract, employment, or other disputes between our customers and third parties.

IV. No Model Training

When using our AI Products or Outputs, you agree you will not use them to train other AI models or technology.

This means you must not, and must not allow third parties to, use any AI Products or Outputs or other information received or derived from AI Products, to directly or indirectly create, distill, train, test, fine-tune, or otherwise improve any AI software or systems, including any architectures, models, or weights.

V. Third Party Technology Partners

Square may use technology provided by third party service providers to provide some functionality for AI Products. Square may also offer you access to third party products and services through the AI Products. You acknowledge that your AI Content, including any personal data you choose to include within that AI Content and other data and information you provide, may be shared with such third parties to enable functionality within and provide the AI Products and to improve the products and services of such third parties.

By using AI Products, you direct and consent to personal data you include in an Input being transferred to these third parties, and you agree that your use of third party products, services and technologies may be subject to the terms and privacy policies associated with those third parties, where indicated by Square, or as otherwise agreed between you and such third parties. For example, if you access your account with a third-party through the AI Products, your account, and any data and information you provide to such a third party through the AI Products, may be governed by terms between you and such third party, in addition to the AI Terms.

VI. No Warranties

WITHOUT LIMITING THE DISCLAIMERS OF WARRANTIES SET FORTH ELSEWHERE IN THE AI TERMS, THE AI PRODUCTS AND OUTPUT ARE PROVIDED “AS IS” WITHOUT REPRESENTATIONS OR WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. YOU AGREE THAT, TO THE FULLEST EXTENT PERMITTED BY LAW, SQUARE AND ITS SUBSIDIARIES AND AFFILIATES SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES WITH RESPECT TO THE AI PRODUCTS AND AI CONTENT, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

SQUARE AND ITS SUBSIDIARIES AND AFFILIATES MAKE NO WARRANTY OF ANY KIND THAT THE AI PRODUCTS OR OUTPUTS OR ANY PRODUCTS OR RESULTS OF THE USE THEREOF, WILL MEET YOUR OR ANY OTHER PERSON'S REQUIREMENTS, OPERATE WITHOUT INTERRUPTION, ACHIEVE ANY INTENDED RESULT, OR BE SECURE, ACCURATE, COMPLETE, FREE OF HARMFUL CODE, OR ERROR-FREE, OR THAT ANY ERRORS OR DEFECTS CAN OR WILL BE CORRECTED. YOU ACKNOWLEDGE THAT, GIVEN THE NATURE OF THE AI PRODUCTS AND AI TECHNOLOGY GENERALLY, THE OUTPUTS (I) MAY BE INACCURATE, MISLEADING, BIASED, OR OFFENSIVE; (II) MAY BE THE SAME AS OR SIMILAR TO OUTPUT THAT THE AI PRODUCTS GENERATE FOR OTHER CUSTOMERS; (III) DO NOT NECESSARILY REFLECT, AND MAY BE INCONSISTENT WITH, SQUARE’S, AND ITS SUBSIDIARIES’ AND AFFILIATES’ RESPECTIVE VIEWS; (IV) MAY NOT REFLECT THE MOST CURRENT MARKET CONDITIONS OR YOUR SPECIFIC CIRCUMSTANCES; AND (V) SHOULD NOT BE USED AS A BASIS FOR DECISION-MAKING AND SHOULD BE VALIDATED BY A HUMAN.

VII. Limitation of Liability and Damages

In addition to the limitation of liability and damages set forth in the General Terms, you acknowledge and agree that any Outputs provided through the AI Products are generated based on algorithms and data inputs that may not reflect the most current market conditions or your specific circumstances. Responses may sometimes provide inaccurate content and should not be used as a basis for decision-making. Always have a human validate. Square makes no representations or warranties, express or implied, regarding the accuracy, reliability, or completeness of any AI Content. For avoidance of doubt, you assume all risks associated with reliance on AI Content, and Square shall not be liable for any direct, indirect, incidental, or consequential damages arising from the use of, or reliance on, any AI Content subject to these Square AI Terms.

To the maximum extent permitted by applicable law, in no event shall Square be liable for any indirect, incidental, or consequential damages arising out of or related to your use of the AI Products or the AI Content, including but not limited to loss of profits, revenue, or business opportunities.

VIII. Indemnity

You will indemnify, defend, and hold us, and our subsidiaries and affiliates (and our respective employees, directors, agents, affiliates and representatives) harmless from and against any and all claims, costs, losses, damages, judgments, tax assessments, penalties, interest, and expenses (including without limitation reasonable attorneys’ fees) arising out of any claim, action, audit, investigation, inquiry, or other proceeding instituted by a person or entity that arises out of or relates to: (a) your actual or alleged breach of the AI Terms; (b) your access to or use of the AI Products or AI Content; (c) your actual or alleged violation of applicable laws or regulations or any third-party right, including any right of privacy, publicity rights or Intellectual Property Rights; or (d) any actual or alleged intentional misconduct, gross negligence, or criminal acts committed by you or your employees or agents.
