Neighborhoods on Cash App Seller Terms and Conditions

These Terms and Conditions (“Neighborhoods on Cash App Seller Terms” or “Terms”) are a legal agreement between you, as a business selected to participate in the Neighborhoods on Cash App Program (“Neighborhoods on Cash App” or “Neighborhoods”), (“Neighborhoods Seller,” “you,” “your”), and Block, Inc. and its affiliated businesses (“Block,” “the Company,” ”Square,” “we,” “our” or “us”), and govern your use of and participation in the Neighborhoods on Cash App services (“Neighborhoods Services” or “Services”). By using the Neighborhoods Services, you agree to be bound by the Square General Terms of Service (“General Terms”), the Square E-sign Consent (“E-Sign Consent”), the Square Payment Terms (“Payment Terms”), these additional terms and conditions (“Neighborhoods on Cash App Seller Terms”), and all other terms, policies and guidelines applicable to the Neighborhoods Service, including the Cash App Pay Program Rules for accepting Cash App Pay (“Cash App Pay Program Rules”). You also acknowledge the Square Privacy Notice. You agree that the Neighborhoods Services shall be deemed part of (and included in) the definition of “Services” under the General Terms. If you are participating in the Program on behalf of a business, that business accepts these terms. Defined terms have the same meaning as in the General Terms unless specifically defined otherwise herein.

1. Purpose and General Description of Services

Neighborhoods on Cash App (“Neighborhoods”) is a marketing and promotional rewards program that provides Neighborhoods Sellers with promotional discounts, marketing tools, and participation in the Neighborhoods network-based promotional rewards program (“Local Cash” or “Local Cash Rewards”), which provides customers of Cash App (a financial platform offered by the Company) that sign up for Neighborhoods (“Neighborhoods Buyers”) with offers and rewards that are valid with any Neighborhood Seller. Neighborhoods Buyers that make eligible purchases at Neighborhoods Sellers using a credit card, debit card, or Cash App Pay (“Eligible Neighborhoods Transactions”), whether in-person at a Square Point of Sale (“Square POS”) or, subject to availability, online through a Seller’s Online Ordering Profile on Cash App (“Online Ordering Profile”), are eligible to earn Local Cash Rewards on such purchases. Local Cash Rewards are for promotional purposes only and have no cash value.

In addition to providing you with opportunities to send messages containing marketing content to Neighborhoods Buyers on Cash App (“Neighborhoods Seller Promotions” or “NSPs”), we may present customers at Neighborhoods Sellers with marketing content and offers to earn Local Cash on purchases with your business. Neighborhoods Buyers may track their rewards in Cash App and redeem their earned Local Cash when making purchases on eligible items at Neighborhoods Sellers (“Qualifying Neighborhoods Purchase”). Neighborhoods Buyers are subject to the Cash App Terms of Service.

Participating in Neighborhoods does not create a contract between or among the Company or any of its businesses or affiliates, and any Neighborhoods Seller, for the facilitation of sales of products or services.

2. Eligibility

The Neighborhoods Program is open to select Square Sellers, offering food and beverage items for sale, at Square’s sole discretion. Neighborhoods Sellers must be activated for Square Payment Services and must accept Cash App Pay as a form of payment, subject to the Cash App Terms of Service, Cash App Merchant Use Policy, and the Cash App Pay Program Rules, which include terms and conditions relating to eligibility, disputes and disputed payments, settlement, confidentiality and privacy, and information security, and enforcement, among other requirements.

We may be required to collect and/or make publicly available certain information about your business through Neighborhoods on Cash App. You agree to promptly provide complete and accurate responses to requests for information about your business from the Company, including Square and/or Cash App. Failure to provide such information may result, at our sole discretion, in your suspension, removal, and/or prohibition from Neighborhoods on Cash App.

We reserve the right to add eligibility requirements for existing Neighborhoods Sellers and/or impose additional onboarding requirements at our sole discretion.

3. Local Cash Offers

(a) Content and Presentation: We may send and/or publicize offers to obtain Local Cash (“Local Cash Offers” or “Offers”) and related information about the Program (“Neighborhoods Marketing”) to customers of Sellers through multiple notification channels, which include notifications on screens on Sellers’ Square POS, promotional emails (“Emails”), email newsletters featuring one or more Sellers (“Neighborhoods Newsletter”), SMS text messages (“Text Messages”), in-app push notifications, such as on Cash App, Square Go, or other mobile applications operated by Square, Cash App, or other Company-affiliated businesses (“Push Notifications”), and through house ads (“House Ads”) and other advertising on websites promoting the Neighborhoods Program and/or Neighborhoods Sellers (“Websites”) (collectively, “Channels”). We may send or otherwise surface to Neighborhoods Buyers offers that may be relevant to them based on their previously identified interests and preferences, including their prior transactions and interactions with Square and Square Sellers.

The Company has sole discretion over the content, appearance, and timing of Local Cash Offers in any format and in any Channel, including but not limited to each Seller’s promotions, the frequency at which Offers are sent or surfaced, the amount of the Offers, and the Sellers that are included in promotional content featuring multiple Sellers. You agree that a Local Cash Offer for your business may be featured in the same promotional material in any format, on the same tab or other native application surfaces within Cash App, on any Website, in any newsletter, or in any other advertising, as other Sellers, including but not limited to other surfaces and/or apps provided by Company-affiliated business, including Square.

(b) Offer Types: Local Cash Offers, including their structure, timing, availability, and caps, are within Square’s sole discretion. Offers may be tied to each Eligible Neighborhoods Transaction as fixed or percentage-based amounts, such as a fixed amount per Qualifying Neighborhoods Purchase, or as a percentage of the order subtotal per Qualifying Neighborhoods Purchase. Local Cash Offers may be subject to transaction thresholds or minimums.

(c) Pre-enrollment Offers: We may present Local Cash Offers to buyers at participating Neighborhoods Sellers that have not enrolled in Neighborhoods on Cash App (“Pre-enrollment Offers”), which may appear on a Square POS screen in the course of a non-Neighborhoods Buyer’s transaction with a Neighborhoods Seller. Such notifications may include a QR code or other invitation to accept Pre-enrollment Offers by signing up for Neighborhoods on Cash App immediately following an Eligible Neighborhoods Transaction. Pre-enrollment Offers are for promotional purposes only and have no cash value. Customers may have the ability to accrue Pre-enrollment Offers in advance of becoming a Neighborhoods Buyer. We maintain and reserve sole discretion on the availability of Pre-enrollment Offers, whether and where Pre-enrollment Offers are surfaced, the timing and amount of any individual Pre-enrollment Offer, the minimum and maximum amounts for the accrual of Pre-enrollment Offers, and any other conditions we communicate in such offers. The Company makes no guarantees and has no continuing obligations to you with respect to the availability of Pre-enrollment Offers.

4. Local Cash Rewards

(a) Earning Local Cash: Neighborhoods Buyers can earn Local Cash Rewards on an Eligible Neighborhoods Transaction when they pay using a credit card, debit card, Cash App Pay, or other payment methods as may be added from time to time. Neighborhoods Buyers may also accrue Pre-enrollment Offers, which they can accept as Local Cash by enrolling in Neighborhoods within Cash App. Local Cash may not be earned on other payment methods or types, including gift cards, rebates, or any other form of promotional value, including but not limited to Local Cash Rewards.

(b) Redeeming Local Cash: Neighborhoods Buyers may redeem Local Cash when making a Qualifying Neighborhoods Purchase on a Seller’s profile within Cash App. Local Cash Rewards may not be redeemed on purchases of gift cards, subscriptions, digital goods, or any items prohibited under the General Terms, Payment Terms, and/or Cash App Pay Program Rules.

(c) No Cash Value: Local Cash Rewards are purely promotional, are not property, and have no cash value. The accumulation of Local Cash Rewards does not entitle a Neighborhoods Buyer to any vested rights. Local Cash Rewards cannot be purchased, transferred, sold, advertised for sale or bartered, or divided as part of a settlement or legal proceeding.

(d) Limitations: The Company maintains complete discretion over the amount and timing of, and any conditions on, Local Cash Rewards, including any minimum and maximum amounts of Local Cash Offers, Local Cash Rewards, and Pre-enrollment Offers available to Neighborhoods Buyers, as well as any per-transaction and per-account limits on Local Cash. The amount of Local Cash Rewards a Neighborhoods Buyer is eligible to receive may be subject to caps as a fixed amount or as a percentage of the order value of a transaction, calculated on a pre-tip and pre-tax basis.

(e) Availability: Local Cash Rewards will be generally available in a Neighborhoods Buyer’s Local Cash balance within 24 hours following a successful Eligible Neighborhoods Transaction; however, we do not guarantee that Local Cash Rewards will be available within any particular time frame.

(f) Redemption: Local Cash Rewards may only be redeemed on purchases with participating Neighborhoods Sellers made within the Cash App mobile application. Local Cash Rewards may be subject to expiration dates. In order to redeem Local Cash Rewards, Neighborhoods Buyers may be required to take certain action(s) within Cash App within a specific time frame at our sole discretion.

(g) Refunds: For any Eligible Neighborhoods Transaction that is subject to a complete or partial refund, we may remove any Local Cash earned on that Eligible Neighborhoods Transaction or portion thereof from the Buyer’s Local Cash balance. Any use of Local Cash Rewards is final and any redeemed Local Cash will not be returned in the event of a refund of a Qualifying Neighborhoods Purchase; however, we reserve discretion to refund, in whole or in part, the amount of Local Cash that was redeemed on a Qualifying Neighborhoods Purchase that is subject to a complete or partial refund.

(h) Cost: As a Neighborhoods on Cash App Seller, you are responsible for the costs of honoring Local Cash rewards when they are redeemed on purchases at your business. We will notify you in advance of any changes to the earning conditions for the Local Cash program, such as changes to the amounts eligible for earning and redemption on purchases with participating sellers. We will provide a program subsidy to you, on a per-location basis, in the amount corresponding to the Local Cash Rewards redemptions minus the total amount of Local Cash earned at that location each month, less any Local Cash refunds (“Neighborhoods Subsidy”). A Neighborhoods Subsidy corresponding to each month will be added to your Square Account Balance during the following month; while we will use reasonable efforts to provide the Neighborhoods Subsidy by the 15th of the following month, we do not guarantee the availability of Neighborhoods Subsidies by any particular day of the month. The Neighborhoods Subsidy does not factor in any amounts associated with Pre-enrollment Offers unless and until such Pre-enrollment Offers are accepted by a customer through enrollment in the Neighborhoods program on Cash App, at which point they are deemed earned. To the extent we offer Local Cash rewards bonuses tied to Neighborhoods on Cash App enrollment (“Enrollment Bonuses”) that are separate from the per-transaction Local Cash rewards described above, such bonuses will not be factored into the amount of Local Cash earned for purposes of calculating the Neighborhoods Subsidy. We may, but are not required to, adjust the amounts of any Neighborhoods Subsidy based on transactions that were reversed, refunded, canceled, or subject to chargebacks that either earned or redeemed Local Cash Rewards. In all cases, Neighborhoods Subsidies are subject to our rights in the Square Payment Terms, including but not limited to Section 14 (“Reserve for Holding Funds”) and Section 16 (“Our Set-off Rights; Security Interest”).

Notwithstanding the foregoing, Sellers are not responsible for funding the costs of honoring Local Cash redemptions on transactions prior to March 15, 2026. You will be notified in advance of the transition to your funding of Local Cash Rewards redemptions.

(i) No Interest In or Claim To Local Cash Rewards: For the avoidance of doubt, you do not have any interest in or claim to Local Cash Rewards. The Company has exclusive interest in Local Cash Rewards, and sole discretion over the terms and policies relating to the provision and availability of Local Cash Rewards.

(j) Fees: Fees (as defined in the Square Payment Terms and Fee Schedule incorporated therein and as may be modified by other contractual agreements with Square) continue to apply during your participation in the Neighborhoods on Cash App Program. Applicable fees may vary depending on whether the transaction occurs in-person on Square POS, through Online Ordering Profiles online or on the Cash App mobile app, by payment method, or by Square paid subscription plan. We may, in our sole discretion, make available promotional or discounted fees for Eligible Neighborhoods Transactions to certain Sellers and/or for limited periods. Any such promotional or discounted fees are not guaranteed and may be modified or discontinued at any time. To the extent such promotional or discounted fees are not lower than your existing rate for the same payment type, the lower of the two rates will apply to you absent express notice to the contrary. If applicable fees increase, we will provide you with reasonable advance notice of the change.

5. Advertising and Marketing

We may provide participating Neighborhoods Sellers with an Online Ordering Profile accessible to Neighborhoods Buyers online and within the Cash App mobile app. The Profile may include any Content provided by your business in connection with your use of Square Services or the services of other affiliated businesses, including Cash App. Your Profile will be made available within Cash App, such as on relevant surfaces or tabs for Neighborhoods Sellers, and on other Websites or surfaces to facilitate the Program at Square’s sole discretion. Profiles may be created and surfaced within Cash App; however, the timing, availability, and overall presentation of your Profile is within the sole discretion of the Company.

By participating in Neighborhoods on Cash App, you agree that Company-affiliated businesses, including Square and Cash App, may market your business in connection with your participation in Neighborhoods on Cash App in marketing materials, and on any Channels, without limitation. You instruct us to send or otherwise make available marketing messages and notifications (“Promotional Messages”) relating to the Neighborhoods Program, including marketing of Cash App and Local Cash Offers featuring your business to Neighborhoods Buyers and marketing of the Neighborhoods and Local Cash programs on your POS devices and Online Ordering Profiles, including during checkout and/or on order confirmation screens. You agree that any such marketing materials and notifications in any channel may feature other participating Neighborhoods Sellers in addition to your business.

Square will make reasonable efforts to market your business on Neighborhoods on Cash App consistently with your Content on Square websites and apps, and will provide ways to configure your Profile through your Square Dashboard; however, you agree that the Company is neither liable to you for any misrepresentations relating to your products or services in its marketing, nor responsible for any inconsistencies between the Content on your existing Square websites and your Online Ordering Profile and/or your promotions in Neighborhoods Marketing Channels. We may make modifications relating to the format, content, or style of your marketing in connection with Neighborhoods on Cash App at our sole discretion.

We will also provide ways to utilize your Profile to provide marketing, special offers or discounts, or other content directly to your buyers on Cash App, such as on your Profile or, where available, through push notifications to Buyers that “follow” you in the app (such offer-related notifications hereinafter referred to as “Neighborhoods Seller Promotions” or “NSPs”). We may provide ways to customize or modify the content and/or timing of NSPs, as well as marketing campaigns allowing you to send NSPs to specific buyers or groups of buyers. You are responsible for the costs of all NSPs, and you agree that some NSP marketing campaigns will be auto-enabled by default. You acknowledge that you will be able to manage, pause, and/or disable such campaigns in your Settings. You are required to comply with all applicable laws and regulations with respect to your NSPs. For the avoidance of doubt, these services are part of the Services described in the General Terms and Additional Point of Sale Terms of Service incorporated therein, and are subject to the marketing-related provisions and acceptable use policies included therein, including but not limited to the section 1 of the Additional Point of Sale Terms of Service titled “Customer Management and Messaging Programs” and encompassing the Acceptable Use Policy for Messaging Services. Push notifications in Cash App, including those containing NSPs, are also subject to the Cash App Acceptable Use Policy.

We do not guarantee customers’ interaction with or utilization of any Local Cash Offer or NSP, their use of any Local Cash Rewards or NSP, or the relevance of any particular Local Cash Offer or NSP or related advertisement or notification for a specific Neighborhoods Buyer. Nothing in these terms creates a contract for marketing services, including any specific agreement relating to the content developed or used to promote your business in connection with Neighborhoods on Cash App.

6. Your Data

Neighborhoods on Cash App may send Local Cash Offers to Neighborhoods Buyers based on their interactions with participating Square Sellers, including order history and buying behavior on an ongoing basis, and provide them with offers to receive Local Cash at relevant Neighborhoods Sellers.

By participating in Neighborhoods on Cash App, you agree Block, Inc. will act as an independent controller or business (as those terms are defined in applicable data protection laws) over information about Buyers who sign up for Neighborhoods on Cash App that was provided in the course of transactions with your business processed by Square and/or in connection with your use of Square Services, for the purpose of the Neighborhoods on Cash App Program. You agree that we may use this data in combination with data collected from other Neighborhoods Sellers and Neighborhoods Buyers, and use it across Company-affiliated businesses, including Square and Cash App, to send targeted promotional materials, including advertisements, to Neighborhoods Buyers. This information includes, but is not limited to, the names, addresses, email addresses, payment methods, and order histories for Buyers that have interacted with you through Square Services. You instruct Square to utilize this information relating to Buyers on a retrospective and prospective basis without limitation in connection with the Neighborhoods on Cash App program.

7. Customer Support

Neighborhoods on Cash App allows Cash App users to interact with your Online Ordering Profile and place orders with your business. You are entirely responsible for order management and fulfillment for any orders placed via your Online Ordering Profile, including honoring any offers communicated through Cash App, including NSPs, and any related customer support issues or disputes with your customers that place orders originating from Neighborhoods on Cash App. You are required to include in your Online Ordering Profile a valid contact method for your customers to contact you directly. For customer support inquiries you may receive relating to the Neighborhoods on Cash App Program, such as issues relating to Cash App functionality or Local Cash Rewards, you may direct customers to Cash App Support at 1-800-969-1940 or at https://cash.app/help.

8. Intellectual Property License

By participating in Neighborhoods on Cash App, you grant the Company a royalty-free, perpetual, non-exclusive right and license to use your business’s name, trademark, and logo (“Trademarks”) worldwide in connection with the Program.

You represent and warrant that all materials provided to Square or Cash App or approved for use by you in connection with Neighborhoods on Cash App are Content as defined in the Section 5 of the General Terms.

9. Ownership

In addition to rights set forth in Section 15 of the General Terms and in any relevant sections of these Neighborhoods on Cash App Terms, the Company owns all rights, title, and interest, in and to the Neighborhoods on Cash App Program, Profiles, Neighborhoods Marketing, the Neighborhoods on Cash App native app experience, and the Websites.

You may submit feedback, comments, or ideas (“Ideas”) about the Neighborhoods on Cash App Program. Submitting Ideas is entirely voluntary, and we will be free to use such ideas as we see fit without any obligation to you.

10. Modification and Termination

We may terminate the Program or these Neighborhoods on Cash App Seller Terms, or suspend or terminate your participation in the Program, at any time and for any reason. We may add or remove, suspend, stop, delete, discontinue or impose conditions on the Program or any feature or aspect of the Program at our sole discretion. We will take reasonable steps to notify Neighborhoods Sellers of termination or these other types of Program changes by email or at the next time you or another authorized user attempts to access your Square Account and/or Neighborhoods on Cash App features. You understand and agree that if you use the Neighborhoods on Cash App Services after the date on which the Terms have changed, we will treat your use as acceptance of the updated Terms.

You may request that Square modify your Content or that Square cancel your participation in the Program, at any time by notifying Square at neighborhoods-support@squareup.com. Square may, but will not be required to, provide an online or in-app interface, such as a program dashboard, to allow for the removal of an Online Ordering Profile and/or termination from the Neighborhoods on Cash App program.

11. Effect of Termination

In addition to the effects of termination set forth in Section 13 of the General Terms, if the Program or your participation in the Program is terminated or suspended for any reason: (a) the license and any other rights granted to you under the General Terms as applicable for use in this Program will end, (b) we will cease including your business in the Program within two (2) weeks of the termination of your participation or the Program, (c) we may continue to use data about buyers who interact with you through Square Services consistent with these terms to facilitate the Neighborhoods on Cash App Program, and (d) we may continue to use your Ideas at our sole discretion.

12. Representations and Warranties

In addition to the entirety of representations and warranties in section 17 of the Square General Terms, you further represent and warrant to us that you are eligible to participate in the Neighborhoods on Cash App Program and use the Services, and that you have the right, power, and ability to enter into and perform under these Neighborhoods on Cash App Seller Terms.

13. No Warranties

In addition to the warranties disclaimed in Section 18 of the General Terms, Square does not guarantee that any Neighborhoods Seller will receive any increased revenue, sales, or other benefits by participating in the Neighborhoods on Cash App Program.

BECAUSE BLOCK INC., INCLUDING SQUARE AND CASH APP, IS NOT INVOLVED IN TRANSACTIONS BETWEEN OR AMONG CUSTOMERS AND SELLERS, IF A DISPUTE ARISES BETWEEN OR AMONG ONE OR MORE PARTICIPANTS IN THE PROGRAM, EACH PARTICIPANT RELEASES BLOCK, INC. (AND ITS AGENTS AND EMPLOYEES) FROM CLAIMS, DEMANDS, AND DAMAGES (ACTUAL AND CONSEQUENTIAL) OF EVERY KIND AND NATURE, KNOWN AND UNKNOWN, SUSPECTED AND UNSUSPECTED, DISCLOSED AND UNDISCLOSED, ARISING OUT OF OR IN ANY WAY CONNECTED WITH SUCH DISPUTES.

14. Prohibited Transactions and Abuse

Local Cash Rewards are not available to be earned on, or applied to, any transactions that violate any relevant terms of service as noted above, including the Square General Terms, Square Payment Terms, Cash App Terms, and Cash App Pay Merchant Program Terms. For the avoidance of doubt, transactions for goods or services that violate Section 3 of the Square Payment Terms, titled “Unsupported Industries”, will not be eligible for Local Cash Rewards and are grounds for immediate removal from the Neighborhoods on Cash App Program and termination of your account(s) with Square, Cash App, or any Company-affiliated business.

Local Cash Rewards may not be earned by you or your officers, directors, subsidiaries, affiliates, agents, or employees, on, or in connection with, transactions with your business. Such transactions are excluded from Eligible Neighborhoods Transactions and may result in suspension or termination from the Program and ineligibility for any future iterations of Neighborhoods on Cash App or related programs.

We reserve the right to suspend or terminate, in our sole discretion, your participation in Neighborhoods on Cash App and/or your account with Square, if we suspect that you have abused the Program or acted inconsistently with these Terms or applicable law, and to exercise the Recovery Authorization provisions in the Square Payment Terms, including with respect to Neighborhoods Subsidies. This includes, but is not limited to, using the Services, directly or indirectly, for any fraudulent undertaking, or making any misrepresentation in connection with your participation in Neighborhoods on Cash App.

15. Relationship of Parties

You are not an employee of Square, Cash App, Block, Inc., or any Company-affiliated businesses. Nothing in these Neighborhoods on Cash App Seller Terms will be construed to create a partnership, joint venture, franchise, agency, sales representative, or employment relationship between or among the parties. You will have no authority to make or accept any offers or representations on behalf of the Company or any of its affiliated businesses. You will not make any statement, whether on your Online Ordering Profile, website, or otherwise, that would contradict anything in this section. These Neighborhoods on Cash App Seller Terms do not create an exclusive relationship between you, as a participating Neighborhoods Seller, and the Company or any of its affiliated businesses.
