Official Contest Rules

NO PURCHASE NECESSARY TO ENTER OR WIN A PRIZE IN THIS CONTEST (DEFINED BELOW). A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. VOID WHERE PROHIBITED BY LAW. BY ENTERING THE CONTEST YOU AGREE TO THESE OFFICIAL RULES, WHICH ARE A CONTRACT, SO READ THEM CAREFULLY BEFORE ENTERING. WITHOUT LIMITATION, THIS CONTRACT INCLUDES INDEMNITIES TO THE SPONSOR FROM YOU AND A LIMITATION OF YOUR RIGHTS AND REMEDIES.

1. Sponsor

The Square Sellers Referral Contest (the “Contest”) is sponsored by Square Canada Inc. (the “Sponsor”).

2. Contest Period

The Contest begins on or about Monday, May 12 2025 at 12am EST and ends on Sunday, June 16 at 11:59pm (the “Contest Period”). Prize winners will be selected at random at the end of the Contest Period and required to answer a mathematical skill-testing question.

3. Eligibility

The Contest is open to legal residents of Canada, excluding Quebec, who (“Entrants”):

  • Are the age of majority in their province or territory of residence at the time of entry;
  • Are existing Square sellers located in Canada with an active Square account in good standing; and
  • Receive a referral invitation from a Square Account Manager.

Employees, representatives, or agents of the Sponsor, its affiliates, advertising and promotional agencies, and their immediate family members or persons residing in the same household are not eligible to participate.

4. How to Enter

During the Contest Period, Entrants will receive a Google Form link from their Square Account Manager. To enter:

  • Complete all required fields in the referral submission form provided by Square; and
  • Submit the form as instructed.

Each valid referral submission constitutes one (1) entry into the Contest. There is no limit to the number of referrals an Entrant can submit; however, each referral must be unique (no duplicate businesses submited by Entrant) and meet the Sponsor’s referral criteria.

Entrants must comply with applicable laws, including privacy and anti-spam laws, and confirm the businesses they are referring as part of this Contest have provided written consent to having their information shared in the submission form and written consent to being contacted by Sponsor for marketing purposes. Entrants should not provide any sensitive or otherwise personal information of individuals/businesses as part of this Contest. Entrants may be required to produce evidence confirming compliance with this section, including written consent, upon request by Sponsor.

Sponsor will determine, in its sole discretion, whether to contact any referred business. Sponsor reserves the right to remove, reject, or disqualify any Entrants from this Contest in its sole discretion for any reason, including but not limited to non-compliance with these Official Rules, suspicion of fraud, or submission of false or misleading information.

As a condition of entering the Contest, without limiting any other provision in these Official Rules, each Entrant gives consent for Sponsor and its agents to collect, use and disclose their name, address and other information to third parties for the purpose of administering this Contest, fulfilling the Prize, and complying with applicable laws, regulations, and rules. Except as otherwise contemplated in these Official Rules, Sponsor will treat the personal information collected in connection with the Contest in accordance with its online privacy policy, located at https://squareup.com/ca/en/legal/privacy.

5. Prizes

There are a total of ten (10) Prizes available to be won:

  • One (1) Grand Prize: $1,000;
  • One (1) Secondary Prize: a Square hardware device (approximate Retail Value: $498 CAD each);
  • Seven (7) Additional Prizes: $20 gift card to local Square sellers.

Total approximate retail value of all prizes: $1,638 CAD.
Prizes must be accepted as awarded, are non-transferable, and cannot be exchanged or substituted, except at the Sponsor’s sole discretion. The Sponsor reserves the right to substitute any prize with another of equal or greater value.

6. Winner Selection

On or about Monday, June 23rd at 9am in Toronto, Ontario, a draw will be conducted from all eligible entries received during the Contest Period.

Selected Entrants will be notified via the contact information provided in their entry form and must correctly answer without assistance of any kind, whether mechanical or otherwise, a mathematical skill-testing question to be administered online, by phone or by email in order to be confirmed as a winner. Once the potential Prize winner correctly provides such information and otherwise complies with these Official Rules, they will be declared a confirmed winner and receive their Prize. Sponsor may require a declaration of compliance, release of liability, and publicity release before awarding the Prize.

If a selected Entrant cannot be contacted within 1 week (7 days) from the original draw date, fails to correctly answer the skill-testing question, or is otherwise ineligible, the Sponsor may disqualify the entrant and select an alternate winner. Please note that each prize winner will be responsible for all tax reporting and remittance obligations in connection with their receipt of the Prize.

7. General Conditions

By entering, Entrants agree to abide by these Official Rules and the decisions of the Sponsor, which are final and binding.

The Contest is subject to all applicable federal, provincial, and municipal laws and regulations. The Sponsor reserves the right to cancel, modify, or suspend the Contest for any reason, including fraud, technical failures, or any other factor in Sponsor’s sole discretion.

8. Publicity

By accepting a prize, winners agree to the use of their name, city/province of residence, and likeness in any advertising or promotional activities related to the Contest, without further compensation, unless prohibited by law.

9. Limitation of Liability

The Sponsor and its affiliates, partners, advertising and promotional agencies, and their respective officers, directors, employees and agents (collectively, the “Releasees”) are not responsible for: (a) lost, late, incomplete, inaccurate, misdirected or illegible entries or communications; (b) technical or human error in the administration of the Contest; (c) unauthorized intervention or tampering; (d) computer, network or system malfunctions or failures; (e) errors in these Rules; (f) any consents or approvals required by applicable law in Entrants completion of the submission form (g) undeliverable emails due to filtering or insufficient inbox capacity. Entrants are responsible for ensuring their contact details are accurate and current. Sponsor may disqualify any Entrant whose contact information is invalid, unreachable, or altered without prior written notice to the Sponsor.

By participating, Entrants agree to release, indemnify and hold harmless the Releasees, from and against any liability whatsoever, including from any claims, damages, or liabilities arising out of or related to participation in the Contest or acceptance, use, or misuse of any prize. Prizes are awarded “as is” without representation, guarantee or warranties, express or implied. The Releasees are not responsible for any additional costs, delays, or consequences resulting from governmental actions or unforeseen circumstances.

10. Disputes and Governing Law

By participating in the Contest, Entrants agree that, to the fullest extent permitted by law: (a) any disputes or claims related to the Contest or any prize must be resolved individually without resort to any form of class action; (b) any claims, judgments or damages awarded will be limited to actual, out-of-pocket expenses (not exceeding $10 CAD) and in no event will legal fees be awarded or recoverable; (c) Entrants waive any right to claim punitive, incidental, consequential, or other indirect damages, and waive any right to have damages multiplied or increased; and (d) Entrants agree that their remedies are limited to monetary damages, if any, and irrevocably waive any right to seek injunctive or equitable relief.

Subject to applicable law, the Contest and these Official Rules are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. All disputes shall be resolved exclusively in the courts of Toronto, Ontario, and Entrants consent to the jurisdiction of such courts.
