Automated Monthly Payment Authorization

Authorization for a Credit Card or Debit Card Transaction

  1. You, on behalf of the business identified above (the “Business”) authorize Square Technologies, Inc. (“Square”, “we”, or “us”) and any affiliates or third parties acting on behalf of Square to charge the credit card, or debit the debit card provided (or any other credit card or debit card you may provide to Square from time to time) (the “Card”) for the purposes of making monthly instalment payments to Square, in the amounts and on the corresponding payment due dates (or possibly on the next business day if such date falls on a weekend or statutory holiday), in connection with the Business’s purchase of goods as stated in the Square Sales Instalment Agreement (the “Agreement”). You also authorize Square to use the Card in connection with the repayment of any other applicable payments (including any missed payment(s)), fees, or charges due and owing to Square from time to time in connection with the Agreement or this payment authorization and agree that such amounts may be charged to the Card, in each case, no earlier than the date such amounts become due and owing to Square. You represent and warrant that you are authorized to act on behalf of the Business and that you are an authorized cardholder for the Card, and you agree to notify us promptly of any changes to the Card information. You understand that if we are unable to process a payment for any reason, such as, for example, if we attempt to debit the debit card and there is a resulting payment decline because there are insufficient funds to cover the amount due, or if the payment attempt is otherwise unsuccessful, (a) this may result in additional charges and/or fees being applied, in which case the total amount owing by you under the Agreement may be more; (b) Square shall be entitled to initiate another payment in substitution for the failed payment and may include as part of that payment any fees or other charges resulting from unsuccessful payment attempt(s); and (c) any subsequent payment attempt(s) may include the amount of any prior missed payment(s). You acknowledge that, to the extent any payment attempt is unsuccessful, Square shall also have the right, at any time, without prejudice to any other rights which it may have, and without prior notice of demand for payment, to deduct, withdraw or set off any money or balances held in, or standing to the credit of, the Square Account created by the Business with Square Canada, Inc., and that such amounts shall be applied toward the payment of any amounts owing and payable by the Business to Square in connection with the Agreement. You also authorize Square to make electronic reversals or credits to the Card, as applicable, in the event of an erroneous charge or debit.

  2. Your authorization will remain in effect until all amounts owing to Square in connection with your Agreement or this payment authorization are paid in full or until you otherwise revoke your authorization by notifying Square at www.squareup.com/help/us/en (English) or www.squareup.com/help/ca/fr (French) and clicking on “contact support”. It may take as long as 10 days for Square to complete your request, so any automatic charge or debit transaction scheduled before that time may be processed. You acknowledge that cancelling this payment authorization applies only to the Card and not the Square Account, and does not affect or have any bearing on your payment obligations to Square under the Agreement. On that basis, if you revoke your authorization before you fully repay amounts owing to Square, you agree to provide Square with an alternative payment method at the time you revoke such authorization.

Pre-Authorized Debit (PAD) Authorization

  1. Authorization to Debit Account. You, on behalf of the business identified above (the “Business”), authorize and direct Square Technologies, Inc. (“Square”, “we”, or “us”) and any affiliates or third parties acting on behalf of Square to initiate pre-authorized debits (“PADs”) drawn on the bank account linked to your Square Account (or any other bank account you may link from time to time) (the “Account”) for the purposes of making all payments (i.e., regular recurring and/or one-time or sporadic payments) owing by the Business to Square arising from or in connection with the Square Instalment Sales Agreement (the “Agreement”). Each instalment amount shall be debited from the Account if we are unable to successfully debit or charge other payment methods provided for satisfying Business’s obligations under the Agreement. The first PAD may be drawn on the Account around the first monthly payment due date (except, if such day is on a weekend or statutory holiday, in which case the debit may be initiated on the next business day). Subsequent PADs may be drawn, in each case, on a monthly basis thereafter until all amounts owing to Square are paid in full. For the amount due on the final scheduled payment date, you agree that we may increase or decrease the amount of the PAD to equal the total amount then outstanding under the Agreement. You also authorize us to initiate PADs from the Account for any other applicable payments (including any missed payment(s)), fees, or other charges owed to us, including for any amounts due from time to time under the Agreement or this PAD Authorization. You understand that we may assess any other applicable payments (including any missed payment(s)), fees, or charges you owe us as a separate PAD from the Account and that any such amount shall be debited from the Account no earlier than the date on which such amounts become due and owing to Square (or, if such date is on a weekend or statutory holiday, may be on the next business day). For sporadic debits, you understand that Square will obtain your authorization prior to initiating any such debit. The debits authorized hereunder are for business purposes.

  2. Error Correction. In the event we make an error in processing any payment, you authorize us to initiate a corrected debit from the Account to correct the error in accordance with the rules of Payments Canada (the “Rules”).

  3. Validation by Financial Institution. This authorization is provided for the benefit of Square and is provided in consideration of the financial institution holding the Account (the “Financial Institution”) agreeing to process debits against the Account in accordance with the Rules. You acknowledge that the Financial Institution is not required to verify that a PAD has been issued in accordance with the terms of this authorization or that some other pre-condition to remittance has been met or satisfied.

  4. Fees for Dishonoured PADs. You understand that if any debit initiated on the Account provided under this PAD Authorization is dishonoured by the Financial institution for any reason, then Square shall be entitled to issue another debit in substitution for the dishonoured debit until the debit is honoured. In addition, the Financial Institution may charge you fees for unsuccessful PADs. You agree that we shall be under no liability whatsoever caused by a dishonoured debit or for any related fees.

  5. Termination. This PAD Authorization will remain in effect until all amounts owing under the Agreement or this PAD Authorization have been paid in full or until we receive notification from you of any change or termination of this PAD Authorization. You may revoke or cancel this PAD Authorization at any time by closing the Square Account you created with Square Canada, Inc. To obtain a sample cancellation form, or for more information on the right to cancel this PAD Authorization, you may contact the Financial Institution or visit www.payments.ca. Cancellation will be effective once Square and the Financial Institution have a reasonable opportunity to act on it. It may take as long as 10 days for Square to complete your request, so any PAD scheduled before that time may be processed. You understand that revocation of this PAD Authorization applies only to the method of payment and does not terminate the Agreement or cancel, reduce or otherwise have any bearing on amounts due and owing to us under the Agreement or this PAD Authorization.

  6. Waiver of Pre-Notification Period. You agree to waive all pre-notification requirements under the Rules in respect of any debits drawn from the Account arising under or in connection with the Agreement including, without limitation, your right to prior notice of any adjustment of the payment amount or change to the payment date of any debits drawn from the Account. You further agree to reduce the time within which you are to receive a confirmation of this PAD Authorization before the due date of the first PAD and acknowledge that confirmation of this PAD Authorization can be provided to you by Square via email.

  7. Recourse. You have certain recourse rights if any debit does not comply with this PAD Authorization. For example, you have the right to receive reimbursement for any debit that is not authorized or is not consistent with this PAD Authorization. To obtain more information on your recourse rights, you may contact the Financial Institution or visit www.payments.ca.   8. By accepting these terms you, on behalf of the Business,

a) confirm that the Account information provided is complete and accurate and undertake to notify Square promptly of any changes to such information;

b) warrant and guarantee that you are authorized to act on behalf of the Business and that the signatures of all persons who are required to sign on the Account, and on whose behalf any PAD purports to be drawn or direction purports to have been given, have authorized this PAD Authorization and that such persons are authorized to sign for and bind the Business; and

c) acknowledge having received, read and understanding the foregoing terms and conditions, and agree to bind the Business to such terms.
