Contracts Terms and Conditions

These terms govern your use of Square International’s Contracts service, and are in addition to Square’s General Terms and Payment Terms.

Square International is not a law firm, an attorney, a solicitor, legal professional, legal practitioner of any kind, or a professional advisor in any other industry or capacity. Square International provides the Contracts service to businesses and persons who choose to prepare their own contractual documents. Square International services and any related documents or materials provided by Square International do not contain, reflect or constitute legal advice, or the provision of any legal service. Your use of this service does not create, nor is it intended to create, a lawyer-client relationship, and the services and any related documents or materials provided by Square International are not legal services or the product of legal services. Square International does not review the information you provide for accuracy, correctness, completeness, fitness for purpose or sufficiency, whether in legal terms or otherwise. Square International does not make any claim or representation of any kind that any document or contract you sign will be valid, lawful, or suitable for your purposes, or binding or enforceable in any jurisdiction and we give no warranties, indemnities or undertakings as to whether the documents or materials are accurate, correct, complete, fit for purpose or sufficient. If you need legal advice as to the legal achievement of your contractual aims, specific contract contents or terms, or have questions regarding the validity, binding nature or enforceability of a contract or its individual terms, you should consult with a licensed attorney or relevant legal practitioner who is authorised or licensed to practise law and provide legal services in the jurisdiction(s) of relevance to your query or queries.

By using any of Square International’s Contracts services, you accept and agree that you will carefully review the Contracts and ensure that you are satisfied with all contents, and, where you wish to confirm the efficacy or legal efficacy of it or any of its provisions, you acknowledge the need to take appropriate legal advice before using it.

You agree that Square International:

• is not providing you with any legal advice or legal services with respect to, or in provision of the Contracts service;
• is making the Contracts service available on an “as is” basis only, where you are responsible for the use, if any, to which you put the contract documents or materials provided to you by Square International;
• to the fullest extent permitted under applicable law, excludes all representations or warranties, express or implied, including without limitation any implied terms or warranties of satisfactory quality or fitness for any particular purpose non-infringement, availability, compatibility, security, legality, accuracy or any other matter;
• is not responsible for the contract you make with any third parties using the Contracts service; and
• is not liable for any loss or damage arising out of or in connection with your use of the Contracts service, and is not responsible for any liability or enforcement under or arising any contract between you and a third party using the Contracts service.
