Official Contest Rules

ENTRANTS MUST BE AT LEAST 18 YEARS OLD. NO PURCHASE NECESSARY TO ENTER OR WIN A PRIZE IN THIS CONTEST (DEFINED BELOW). A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. VOID WHERE PROHIBITED BY LAW. BY ENTERING THE CONTEST YOU AGREE TO THESE OFFICIAL RULES, WHICH ARE A CONTRACT, SO READ THEM CAREFULLY BEFORE ENTERING. WITHOUT LIMITATION, THE CONTEST IS IN NO WAY SPONSORED, ENDORSED, ADMINISTERED BY, OR ASSOCIATED WITH META PLATFORMS, INC. (“INSTAGRAM”) OR THE CONCERT PERFORMERS, PRODUCERS, OPERATORS OR VENUE. THIS CONTRACT INCLUDES INDEMNITIES TO THE SPONSOR FROM YOU AND A LIMITATION OF YOUR RIGHTS AND REMEDIES.

1. Sponsor

This contest (the “Contest”) is sponsored by Square Canada Inc. (the “Sponsor”), located at 5000 Yonge Street, North York, Ontario, M2N 0A7.

2. Contest Period

The Contest begins on or about January 26th, 2025 at 12:00 a.m. Eastern Time (ET) and ends on February 4th, 2026 at 11:59 p.m. ET (the “Contest Period”). Prize winners will be selected by draw at the end of the Contest Period and must correctly answer a mathematical skill-testing question in order to redeem the prize.

3. Eligibility

The Contest is open only to legal residents of Toronto, Ontario (“Entrants”) who:

• Are at least the age of majority in Ontario (18 years old) at the time of entry;
• Complete and submit the designated Google Form provided by the Sponsor via social channels; and
• Are entering the Contest as an authorized representative of a bona fide business legally operating in the Province of Ontario at the time of entry, with a valid business address in Ontario, and in good standing with all applicable laws and regulations.

Employees, representatives, or agents of the Sponsor, its affiliates, advertising and promotional agencies and partners, and their immediate family members or persons residing in the same household are not eligible to participate in the Contest.

The Sponsor reserves the right, in its sole discretion, to verify the eligibility and business status of any Entrant and to disqualify any entry that does not meet these requirements.

4. How to Enter

During the Contest Period:

• Entrants must complete all required fields in the Google Form provided by the Sponsor; and
• Submit the form as instructed.

Each completed form will constitute one (1) entry into the Contest. Limit: one entry per business / merchant .

As a condition of entering the Contest, Entrants consent to the Sponsor’s collection, use, and disclosure of their name, address, and other information for the purpose of administering the Contest, awarding prizes, and complying with applicable laws. Except as otherwise contemplated in these Rules, Sponsor will treat personal information in accordance with its Privacy Policy, located at: https://squareup.com/ca/en/legal/general/privacy-no-account

5. Prizes

There is one Prize available to be won. The Prize consists of two (2) tickets to any show of your choice produced or promoted by Live Nation Canada, Inc. (“Live Nation”) taking place in Toronto between February 9th, 2026 to March 31st, 2026. Retail value of the tickets are estimates and will depend on the show the winner picks.

• Approximate Retail Value (“ARV”) per ticket: $250 CAD.
• Total ARV of all prizes: $500 CAD.

Prizes must be accepted as awarded, are non-transferable, and cannot be exchanged or substituted, except at the Sponsor’s sole discretion. Prizes will be delivered electronically to winners or another delivery method as determined by Sponsor.

If a selected event is cancelled, postponed, rescheduled, unavailable, or otherwise not redeemable for any reason (as determined by the Sponsor in its sole discretion), the winner will be provided the opportunity to select an alternate eligible event of comparable value, subject to availability. No additional compensation or substitution will be provided.

The Sponsor also reserves the right to substitute the Prize with a prize of equal or greater value if necessary.

Third-Party Disclaimer

Live Nation Canada is not a Sponsor of the Contest, and is in no way responsible for the administration of the Contest, the verification of winners or the fulfillment of prizing. All inquiries regarding the Contest should be directed to Sponsor.

6. Winner Selection

On or about February 6th, 2026 at 9:00 a.m. ET in Toronto, Ontario, a draw will be conducted from all eligible entries received during the Contest Period.

Selected entrants will be notified via the contact information provided in their entry form and must correctly answer, without assistance of any kind, mechanical or otherwise, a mathematical skill-testing question to be confirmed as a winner. Odds of winning depend on the total number of eligible entries received during the Contest Period.

If a selected entrant cannot be contacted within 2 business days of the draw, fails to correctly answer the skill-testing question, or is otherwise ineligible, the Sponsor may disqualify that entrant and select an alternate winner.

Winners are responsible for all taxes, fees, and costs associated with their prize. The Prize consists only of the tickets described and does not include transportation, accommodation, meals, or any other expenses not expressly stated, all of which are the sole responsibility of the winner

Sponsor may require the selected entrant to sign and return a Declaration of Compliance, Liability Release, and Publicity Release (where lawful) before being confirmed as a winner.

7. General Conditions

By entering, Entrants agree to abide by these Official Rules and the decisions of the Sponsor, which are final and binding. The Contest is subject to all applicable federal, provincial, and municipal laws and regulations. The Sponsor reserves the right to cancel, modify, or suspend the Contest, including prizes, for any reason, including fraud, technical failures, or any other factor in its sole discretion.

8. Publicity

By accepting a prize, winners agree that the Sponsor may use their name, city of residence, and likeness for advertising and promotional purposes related to the Contest, without additional compensation, unless prohibited by law.

9. Instagram

Sponsor is not responsible for any changes or unavailability of Instagram’s services that may interfere with the Contest (including any limitations, any restrictions, or any conditions on Sponsor’s ability to use Instagram for the Contest as set forth herein that are not acceptable to Sponsor) or ability of an entrant to timely enter the Contest. Sponsor, in its sole discretion, may terminate or modify the Contest.

10. Limitation of Liability

The Sponsor, Instagram, Live Nation, and their affiliates, advertising and promotional agencies, and their respective officers, directors, employees, and agents (collectively, the “Releasees”) are not responsible for:

• Lost, late, incomplete, inaccurate, or misdirected entries;
• Technical or human error in the administration of the Contest;
• Unauthorized intervention or tampering; or
• Any other errors, failures, or events beyond the Sponsor’s reasonable control

By entering, Entrants release and hold harmless the Releasees from any claims, damages, or liability arising out of participation in the Contest or use/misuse of any prize. Prizes are awarded “as is,” without warranty of any kind.

11. Disputes and Governing Law

By participating, Entrants agree that, to the fullest extent permitted by law:

• Any disputes will be resolved individually without resort to class action;
• Any claims will be limited to actual out-of-pocket expenses (not exceeding $10 CAD);
• Entrants waive any right to claim punitive, incidental, consequential, or other indirect damages.

The Contest and these Rules are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. All disputes will be resolved exclusively in the courts of Toronto, Ontario.
